NeuroViz Affiliate Program — Terms & Conditions

These Terms govern your participation in the NeuroViz Affiliate Program (“Program”) operated by NeuroViz Corp (“NeuroViz”, “we”, “us”, “our”). By applying to the Program or by accepting an affiliate account, you (“Affiliate”, “you”, “your”) agree to be bound by these Terms.
1. Definitions
- Affiliate Link — a unique URL or code we issue you that identifies traffic and signups as referred by you.
- Referred Customer — a person or entity who creates a NeuroViz account within 90 days of clicking your Affiliate Link.
- Confirmed Sale — a payment made by a Referred Customer to NeuroViz that has cleared a 30-day refund and chargeback window with no reversal.
- Lifetime Confirmed Sales — the cumulative dollar value of all Confirmed Sales attributed to you since you joined the Program. This figure never resets.
- Commissionable Activity — any payment made by a Referred Customer to NeuroViz, including credit pack purchases, individual app purchases, Pro membership initial payments, and Pro membership renewals.
2. Eligibility
2.1 You must be at least 18 years old and legally capable of entering into a binding agreement.
2.2 You must complete the application form and be approved by NeuroViz. We may reject or revoke any application at our discretion.
2.3 You must submit a valid tax form before your first payout (see Section 9).
2.4 The following are not eligible to participate in the Program:
- NeuroViz employees, contractors, officers, and their immediate family members
- Anyone earning commission on their own NeuroViz purchases or on the purchases of accounts they control
3. Tier System & Commission Rates
3.1 The Program operates three tiers. Your commission rate is determined by your current tier:

3.2 Promotion is automatic. The moment your Lifetime Confirmed Sales cross a tier threshold, your commission rate increases to that tier and applies to all subsequent Confirmed Sales.
3.3 Promotion is permanent. Once a tier is earned, it is never lost, regardless of subsequent sales volume, refunds, or activity level.
3.4 Tier counting is lifetime cumulative and runs on a separate clock from the Attribution Window described in Section 4. The two clocks operate independently.
4. Attribution Window
4.1 Attribution is 90 days, click-to-signup. A person becomes a Referred Customer only if they create a NeuroViz account within 90 days of clicking your most recent Affiliate Link.
4.2 If a person clicks multiple Affiliate Links from different Affiliates within their 90-day window, the most recent click wins (last-click attribution).
4.3 The 90-day Attribution Window applies only to the click-to-signup match. Once a person becomes your Referred Customer, that relationship is permanent — see Section 5.
5. Commissionable Activity & Lifetime Revenue Share
5.1 You earn your tier’s commission rate on every payment your Referred Customer ever makes to NeuroViz, for the entire life of that customer. There is no expiry on the customer relationship.
5.2 Commissionable Activity includes, without exception:
- All credit pack purchases of any size
- All individual app purchases, including the AI Video Creator
- The initial Pro membership payment
- All Pro membership renewals, for as long as the Referred Customer maintains the membership
5.3 There are no product, tier, or category carve-outs from Commissionable Activity. If a Referred Customer pays NeuroViz for any product or service, you earn your tier rate on that payment.
6. Confirmed Sales, Payouts & Clawback
6.1 A sale becomes a Confirmed Sale once the payment has been received and a 30-day refund and chargeback window has elapsed with no reversal.
6.2 Confirmed commissions are paid out in the next monthly payout run following confirmation. Payouts run on or around the 5th of each month.
6.3 The minimum payout is $25. Confirmed balances below $25 roll forward to the next month until the threshold is reached.
6.4 If a refund or chargeback is processed after the commission has been paid out, NeuroViz will deduct the reversed commission from your next monthly balance (“clawback”). If your balance is insufficient, the deficit will be carried forward and applied against future earnings.
6.5 Payouts are made via PayPal or bank transfer (ACH for US affiliates, international wire for others). Your preferred method and account details are set in your affiliate dashboard.
7. Self-Referrals and Employee Accounts
7.1 You may not earn commission on purchases made through your own NeuroViz account or any NeuroViz account you control.
7.2 You may not earn commission on purchases made by NeuroViz employees, contractors, officers, or their immediate family members.
7.3 Violation of this Section may result in commission reversal, account suspension, or termination from the Program.
8. Permitted and Prohibited Promotion
8.1 Permitted: You may promote NeuroViz through editorial content, reviews, tutorials, email newsletters to your own opted-in lists, organic social posts, and YouTube content.
8.2 Prohibited: You may not
- bid on “NeuroViz”, “Neuro Viz”, or other NeuroViz trademarks in any paid search platform (Google Ads, Bing Ads, etc.);
- use a domain name, social handle, or page name that includes “NeuroViz” or a confusingly similar variant;
- send unsolicited email (“spam”), SMS, or messaging;
- misrepresent yourself as NeuroViz or imply you are an employee, agent, or authorized representative of NeuroViz;
- publish discount codes, coupons, or claims that have not been provided or approved by NeuroViz;
- use cookie stuffing, forced clicks, autofill, or any technique that injects an Affiliate Link without the user’s deliberate click;
- promote NeuroViz on websites featuring illegal content, hate speech, adult material, or content that violates the rights of others.
8.3 Violation of this Section is grounds for termination and commission forfeiture.
9. Tax Reporting
9.1 You are an independent contractor. You are responsible for all taxes on commissions paid to you.
9.2 Before your first payout, you must submit a valid tax form:
- US Affiliates: IRS Form W-9
- International Affiliates: IRS Form W-8BEN (or W-8BEN-E for entities)
9.3 If you earn $600 or more in commissions in a calendar year as a US Affiliate, NeuroViz will issue you a Form 1099-NEC by January 31 of the following year.
9.4 NeuroViz may withhold payouts until a valid tax form is on file.
10. Brand and IP Use
10.1 NeuroViz grants you a limited, non-exclusive, non-transferable, revocable license to use the NeuroViz name, logo, screenshots, and promotional assets we make available solely for the purpose of promoting NeuroViz under this Program.
10.2 You may not modify the NeuroViz logo, place it next to objectionable content, or use it in any manner that suggests endorsement of a third-party product or service.
10.3 All goodwill arising from your use of NeuroViz trademarks inures to NeuroViz. The license terminates immediately upon termination of your participation in the Program.
11. Confidentiality
Any non-public information NeuroViz shares with you (including individual commission data, dashboard analytics, unannounced features, or roadmap discussions) is confidential. You agree not to disclose it without our written consent.
12. Term and Termination
12.1 The Program is at-will. Either party may terminate participation at any time, with or without cause, by written notice (email is sufficient).
12.2 NeuroViz may suspend or terminate your participation immediately for breach of these Terms, fraudulent activity, or activity that damages NeuroViz’s reputation.
12.3 On termination by NeuroViz for cause, all unpaid commissions are forfeited. On termination by either party not for cause, confirmed commission balances above the $25 minimum are paid out in the next regularly scheduled monthly run.
12.4 Sections 6.4 (clawback), 9 (tax), 10.3 (license termination), 11 (confidentiality), 13 (warranties), 14 (liability), and 16 (governing law) survive termination.
13. No Warranties
The Program is provided “as is” and “as available”. NeuroViz makes no warranties, express or implied, regarding your earnings, traffic conversion, or the continued availability of the Program.
14. Limitation of Liability
To the maximum extent permitted by law, NeuroViz’s total liability to you under or in connection with this Program — whether in contract, tort, or otherwise — is limited to the total commissions paid to you in the twelve months preceding the event giving rise to the claim. In no event shall NeuroViz be liable for indirect, incidental, consequential, special, or punitive damages.
15. Modifications to the Program
15.1 NeuroViz may modify these Terms, commission rates, tier thresholds, attribution windows, payout schedules, or any other aspect of the Program at our discretion.
15.2 We will provide at least 30 days’ notice of any change that reduces commission rates or raises tier thresholds. Such changes apply only to sales occurring after the effective date — your tier status and any commissions already earned are not retroactively affected.
15.3 Continued participation in the Program after the effective date of any change constitutes acceptance of the modified Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware.
