NeuroViz Affiliate Program — Terms & Conditions

These terms (“Terms”) govern your participation in the NeuroViz Affiliate Program (“Program”), operated by NeuroViz, Corp (“NeuroViz,” “we,” “us”). By applying to or participating in the Program, you (“Affiliate,” “you”) agree to these Terms.

1. Eligibility

  • You must be at least 18 years old and legally able to enter binding agreements.
  • You must own and operate the channels and audiences through which you promote NeuroViz.
  • Approval to the Program is at NeuroViz’s sole discretion.
  • One affiliate account per individual or legal entity.
  • You may not be a current NeuroViz employee, contractor, or immediate family member of either, unless explicitly approved in writing.

2. Commission

  • Rate: 30% of the net price (excluding taxes and payment-processor fees) on every credit pack purchase made by your referred customer within the attribution window.
  • No cap on total commissions earned.
  • NeuroViz currently sells pay-as-you-go credit packs only. There is no subscription product, and therefore no recurring commission component.

3. Attribution & Tracking

  • Window: 45 days from the referred user’s most recent click on your unique affiliate link.
  • Coverage: every credit pack purchase made by that user within the 45-day window earns you commission — not only the first purchase.
  • Last-click attribution: if a user clicks multiple affiliates’ links, the most recent click within 45 days receives the credit.
  • After 45 days: the attribution expires. Subsequent purchases by that user do not earn commission unless they click your link again.
  • Self-referrals are excluded: purchases on your own NeuroViz account, or any account you control, do not earn commission.

4. Audience Discount

Upon approval, you receive a unique discount code (or branded link) offering your audience 20% off their first credit pack purchase. The discount applies only to the customer’s first purchase and may not be combined with other promotions. NeuroViz may pause or modify the audience discount with 14 days’ notice.

5. Payments

  • Schedule: Net 30. Commissions earned in month M are paid by the end of month M+1, after the 30-day refund window has closed.
  • Minimum payout: $100. Balances under $100 roll forward to subsequent months until the threshold is met.
  • Payment methods: bank transfer or PayPal — selected in your affiliate dashboard.
  • Currency: USD.
  • Taxes: You are solely responsible for any taxes owed in your jurisdiction. NeuroViz may require a W-9 (US) or W-8BEN (non-US) before issuing payments and may withhold where required by law.
  • Failed payments: If a payout fails due to incorrect account info, the balance is held until you correct it.

6. Refunds, Chargebacks & Clawbacks

  • If a referred customer refunds a credit pack within 30 days of purchase, the related commission is reversed and clawed back from your next payout.
  • Chargebacks and fraudulent payments reverse the associated commission in full.

7. Approved Promotional Methods

You may promote NeuroViz via:

  • Your own website, blog, newsletter, YouTube channel, podcast, or owned social channels
  • Honest reviews, tutorials, and case studies featuring NeuroViz tools
  • Email to subscribers who have opted in to your list
  • Paid social and paid YouTube ads on your own creative (not bidding on NeuroViz brand terms — see §8)

8. Prohibited Activities

The following will result in immediate Program termination and forfeiture of any unpaid commissions:

  • Bidding on NeuroViz trademarks in paid search (e.g., “neuroviz,” “neuroviz.ai,” brand variants and typos) on Google, Bing, or any search engine
  • Spam: unsolicited email, DMs, or messaging-platform broadcasts
  • Fake or misleading content: false reviews, fabricated results, misrepresentation of features, pricing, or guarantees
  • Coupon / voucher aggregator sites (e.g., RetailMeNot-style) without prior written approval
  • Impersonating NeuroViz, its employees, customers, or any related party
  • Cookie stuffing, click fraud, incentivized clicks without disclosure, or any automated traffic generation
  • Promoting NeuroViz on adult, hateful, violent, illegal, or otherwise disreputable channels
  • Trademark misuse: modifying the NeuroViz logo, falsely implying official endorsement or partnership beyond “affiliate”

9. Disclosure & Compliance

You must clearly disclose your affiliate relationship in accordance with applicable law and platform rules:

  • United States: FTC Endorsement Guides — e.g., “affiliate link,” “I earn a commission if you purchase via this link,” in close proximity to the link
  • United Kingdom / EU: equivalent disclosures (ASA, consumer-protection rules)
  • Other jurisdictions: comply with local advertising and disclosure laws

You may identify yourself as a “NeuroViz Affiliate” or “Affiliate Partner.” You may not claim any other partnership status.

10. Brand & Trademark Use

  • You may use the NeuroViz name and approved logo files in promotional content, in unmodified form.
  • Approved brand assets are available in the affiliate dashboard.
  • Do not recolor, distort, animate, or combine the logo with third-party marks.
  • Do not register domain names, social handles, or trademarks containing “neuroviz” or close variants.

11. Termination

  • Either party may terminate this agreement at any time, with or without cause, by email notice.
  • On termination: any commissions earned before termination and not forfeited under §8 will be paid out on the next normal payment cycle, subject to the $100 minimum.
  • We may suspend your account during investigation of suspected fraud or material breach; if cleared, your status is restored.

12. Changes to These Terms

We may update these Terms at any time. We will notify active affiliates by email at least 14 days before material changes take effect. Continued participation after that date constitutes acceptance of the updated Terms.

13. Liability & Indemnification

  • The Program is provided “as is.” NeuroViz is not liable for any indirect, incidental, or consequential damages arising from your participation.
  • You agree to indemnify NeuroViz against claims arising from your promotional activities, including any breach of these Terms or applicable law.

14. Governing Law

These Terms are governed by the laws of the state of Delaware. Disputes will be resolved in the courts of that jurisdiction unless otherwise required by mandatory consumer law in your country of residence.
